By accessing or using the Site in any manner, you (“you,” “User,” or “Visitor”) agree to be bound by these Terms. If you do not agree to all of these Terms, you must immediately discontinue use of the Site.

1. Definitions

“Content” means text, graphics, images, audio, video, trademarks, logos, software, and other materials appearing on the Site or delivered through the Services, whether created by Burton Investment Technologies or submitted by Users.

“User Content” means any Content that Users submit, post, upload, or otherwise make available to the Site (e.g., contact inquiries, comments, or documents).

“Account” means a registered user profile created to access certain features of the Site (e.g., investor portals or subscription-based resources).

“Investor,” “Client,” or “Member” means a User who has registered for a paid or free Account to access additional information or interactive features.

“Privacy Policy” means Burton Investment Technologies’ separate policy governing collection, use, and disclosure of personal data, available at

“Services” include the Site, all interactive features (such as investor dashboards), newsletters, e-mail alerts, and any other online offerings made available by Burton Investment Technologies.

2. Acceptance of Terms; Changes

Acceptance. By accessing or using the Site or Services, you expressly accept and agree to be bound by all of these Terms and any policy or guideline posted on the Site, including the Privacy Policy. Changes. Burton Investment Technologies reserves the right to modify or update these Terms at any time, without prior notice, by posting the revised version on the Site. The “Effective Date” at the top will be updated to reflect the last revision. Continued use of the Site after any changes constitutes your acceptance of the revised Terms. You should review these Terms periodically for updates.

3. Eligibility; Account Registration

Age Requirement. To use certain Services or open an Account, you must be at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher). By registering, you represent and warrant that you meet this requirement.Account Creation.• Users may be required to create an Account to access investor-specific resources, download whitepapers, subscribe to newsletters, or engage with interactive features.• When creating an Account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your password and Account credentials.• You must notify Burton Investment Technologies immediately of any unauthorized use of your Account or any other breach of security. Burton Investment Technologies is not liable for any loss or damage arising from your failure to safeguard your credentials.• Burton Investment Technologies reserves the right to suspend or terminate any Account if you fail to comply with these Terms or if fraud or abuse is suspected.

4. License Grant; Intellectual Property

Site Content Ownership. All Content, including but not limited to text, graphics, logos, images, videos, software, and designs, is owned by Burton Investment Technologies or its licensors and is protected by U.S. and international intellectual property laws.License to Use. Subject to your compliance with these Terms, Burton Investment Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access, view, and use the Site and Content solely for your personal, non-commercial, informational use.Restrictions. You may not, without Burton Investment Technologies’ express written permission:• Copy, reproduce, distribute, republish, download, display, post, or transmit any Site Content for any public or commercial purpose.• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from any of Burton Investment Technologies’ software or Content.• Use any data-mining, robots, or similar data gathering or extraction methods.• Frame, mirror, or otherwise incorporate any part of the Site into another website or service.• Remove or modify any copyright, trademark, or other proprietary notices on any Content. Trademarks. “Burton Investment Technologies,” “BiTechnologies,” the BiTechnologies logo, and all other Burton Investment Technologies trademarks, service marks, and logos used in connection with the Site (“Marks”) are owned by Burton Investment Technologies. You are prohibited from using any Marks without Burton Investment Technologies’ prior written consent.

5. User-Generated Content; License to Burton Investment Technologies

Submission of User Content. From time to time, the Site may allow you to submit comments, questions, documents, or other materials. When you submit User Content to the Site (e.g., via contact forms, discussion boards, or investor portals), you grant Burton Investment Technologies a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable right to use, copy, modify, process, display, distribute, and otherwise exploit that User Content in any manner and in any medium now known or later developed.Representations and Warranties. You represent and warrant that:• You own or have the necessary rights and permissions to post or submit the User Content.• Your User Content does not infringe or violate the rights (including intellectual property, privacy, or publicity rights) of any third party.• Your User Content does not contain defamatory, libelous, obscene, or otherwise unlawful material. Monitoring and Removal. Burton Investment Technologies has the right (but not the obligation) to monitor, edit, refuse, or remove any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable. We may terminate or suspend your Account for repeated violations or for any reason at our discretion.

6. Fees, Payment, and Refunds

Paid Services. Certain features (e.g., premium investor reports, detailed bond analytics, or subscription-based newsletters) may require payment of fees. By signing up for a paid Service, you agree to pay all applicable fees and taxes. Billing Cycle. If your subscription automatically renews, Burton Investment Technologies will charge your chosen payment method on a recurring basis at the then-current rates, until you cancel. Price Changes. Burton Investment Technologies reserves the right to change its subscription fees at any time; however, any price change will become effective only after providing thirty (30) days’ advance notice. Refund Policy. Unless otherwise stated at the time of purchase, all fees are non-refundable. If you believe you are entitled to a refund under special circumstances, you must contact

within fifteen (15) days of the transaction. Burton Investment Technologies will review on a case-by-case basis.

7. Privacy Policy; Data Collection

Privacy Policy. Your use of the Site is also governed by Burton Investment Technologies’ Privacy Policy, which is incorporated herein by reference. The Privacy Policy explains (a) what personal data we collect, (b) how we use it, and (c) with whom we may share it.Cookies and Tracking. We may use cookies, web beacons, and similar technologies to collect information about your usage patterns. You can manage cookie preferences via your browser settings, but disabling cookies could affect Site functionality.

8. Prohibited Uses

You agree not to use the Site or Services to:

• Violate any applicable federal, state, local, or international law or regulation.

• Transmit any material that is abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise objectionable.

• Transmit viruses, malware, or any other harmful code.

Burton Investment Technologies expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:• Any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or title.• Any warranty that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.• Any warranty regarding the accuracy, completeness, or reliability of any Content or User Content. NO ADVICE. The Site may contain information about investments, financing, or corporate governance. Nothing on the Site constitutes financial, investment, legal, tax, or other professional advice. You should consult your own advisors before making any decision based on information obtained through the Site.

10. Limitation of Liability

LIMIT ON LIABILITY. To the fullest extent permitted by law, neither Burton Investment Technologies nor its officers, members, managers, employees, affiliates, or agents shall be liable for:• Any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits or revenues) arising out of or relating to these Terms, the Site, or the Services, even if we have been advised of the possibility of such damages.• Any loss or damages arising from (a) your inability to access or use the Site; (b) reliance on any Content; (c) any failure or delay in the Site’s performance; or (d) unauthorized access to or alteration of your transmissions or data. CAP ON DAMAGES. Burton Investment Technologies’ total aggregate liability under these Terms, regardless of the cause of action, will not exceed the greater of (a) the fees paid by you to Burton Investment Technologies in the twelve (12) months preceding the act giving rise to liability or (b) one hundred U.S. dollars (US $100).SOME JURISDICTIONS. Certain jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If applicable law prohibits limiting liability or disclaimers outlined herein, our liability will be limited to the fullest extent permitted by such law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Burton Investment Technologies and its affiliates, officers, managers, employees, agents, and licensors (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

Your breach of these Terms, including any representations or warranties; Your use of, or inability to use, the Site or Services; Any User Content you submit, post, or transmit that infringes or violates the rights of any third party;Any claim that your use of the Site, Services, or User Content violates applicable law.

12. Termination and Suspension

Termination by Burton Investment Technologies. We may, in our sole discretion, suspend or terminate your access to all or part of the Site or Services at any time, for any reason (including your violation of these Terms), without prior notice or liability.Termination by You. You may deactivate or terminate your Account at any time by contacting

Upon termination:• Your license to use the Site will immediately cease.• Any subscriptions will be canceled and will not be prorated or refunded (unless otherwise specified).• Sections 4 (License), 6 (Liability), 7 (Indemnification), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), 14 (Notices), and 15 (Miscellaneous) will survive termination.Effect of Termination. Upon termination or expiration of your Account, any User Content associated with your Account may be deleted. Burton Investment Technologies disclaims any liability for loss of data or User Content upon termination.

13. Third-Party Links and Services

Third-Party Content. The Site may contain links to third-party websites, services, or resources. Burton Investment Technologies does not control such third-party content and is not responsible for its accuracy, legality, or any content on those sites.Third-Party Integrations. Certain features may integrate with external service providers (e.g., payment processors, document repositories). Your use of those integrations may require agreeing to additional terms. No Endorsement. The presence of any link or reference does not imply Burton Investment Technologies’ endorsement of, or affiliation with, the third party. You agree that Burton Investment Technologies is not responsible or liable for any loss or damage arising from your interaction with any third-party site or service.

14. Governing Law; Dispute Resolution

Governing Law. These Terms and any dispute arising out of or relating thereto shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict-of-law provisions.Venue. You hereby submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute arising under or relating to these Terms or the Site.Waiver of Jury Trial. To the fullest extent permitted by law, you and Burton Investment Technologies waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms.Arbitration (Optional). If both parties agree in writing after a dispute arises, any unresolved dispute may be submitted to binding arbitration in New York, New York under the rules of the American Arbitration Association. Each party will bear its own costs, and the arbitrator’s decision shall be final and binding.

By You. 16. Severability; Waiver; Entire Agreement

Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.Waiver. No waiver of any right or provision under these Terms shall be effective unless in writing signed by the party waiving. Failure or delay in enforcing any provision shall not operate as a waiver of that or any other provision.Entire Agreement. These Terms, together with the Privacy Policy and any policies or guidelines posted on the Site, constitute the entire agreement between you and Burton Investment Technologies concerning the Site and Services and supersede all prior or contemporaneous. Any additional or contrary terms proposed by you are hereby rejected.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without Burton Investment Technologies’ prior written consent. Burton Investment Technologies may freely assign these Terms, in whole or in part, without restriction.Force Majeure. Burton Investment Technologies will not be liable or deemed in breach for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, strikes, labor disputes, or telecommunications failures. No Third-Party Beneficiaries. These Terms are for the benefit of you and Burton Investment Technologies and are not intended to confer third-party beneficiary rights on any other person, except to the extent provided for indemnified parties in Section 11.
